Board Meeting DRAFT MINUTES
February 15, 2011
6:30 p.m. at the Rec Center, 65 Totem Street, Ulster, PA

Attending: Paul Bennett, Chris Kinner, Laura Hewitt, Leigh Trasco, Michelle Harnish; Board members absent: Kim Mayo-Babcock, Bob Lee, Edie Hadlock. Also present: Kurt Lafy, Josh Holdren.

The meeting was called to order at 6:40 p.m. by Paul Bennett, President.

MINUTES Hewitt/Kinner motion passed to accept the January 13, 2011 minutes amended to correct the Annual meeting time from 7:30 to 7:00 p.m., and striking the two motions regarding free use of facilities.

TREASURER'S REPORT All bills are paid and current. There are no outstanding bills owning. Michelle Harnish has QuickBooks installed, however, has not had a chance to work with it.

Laura Hewitt presented an invoice for $15 for website renewal and Michelle Harnish wrote a check.

NEW BUSINESS
· 501 c(3)discussion : Hewitt/Trasco motion passed to table discussion on proposed changes to bylaws to meet 501(c)(3) requirements until more research has been done.
· Bennett/Kinner motion passed to use standard IRS language as a dissolution clause as follows: "Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose."

ACTIVITIES COMMITTEE
· Currently volleyball and floor hockey programs are underway, as well as adult open basketball. Friday night skates are well attended weekly. Line dancing is being held on Wednesday evenings.
· Future activities:
   Easter party set for April 15.
   Possible May 21 date set for Kurt Lafy to perform a walking tour of graves in the Ulster Cemetery and a wartime biography.
   Possible August 13 date set for summer community event.

CONTINUED DISCUSSION ON PRICING
Kinner/Hewitt motion passed that supporting members/non-profit organizations with active volunteers participating in Rec Center programs may, at the discretion of the Board, be given free use of the facilities up to twice a year.
